Terms and conditions
This is an English translation for your information. The Hungarian version is the binding text, and it prevails if the two differ. If anything is unclear, write to hello@upgo.hu.
Effective from: 28 September 2026 (version: 2026-09-28)
This document sets out the general terms that apply to ordering and using UpGo’s services. If you have any questions, feel free to write to hello@upgo.hu.
1. The Service Provider
Martin Tóth, sole trader (UpGo), registered office: 9400 Sopron, Ady Endre út 147., Hungary, registration number: 62550617, tax number: 92205073-1-28, email: hello@upgo.hu, website: upgo.hu (hereinafter: the Service Provider).
The hosting provider of the Service Provider’s own website and of the UpGo booking system is Rackhost Zrt. (6722 Szeged, Tisza Lajos körút 41.). The Service Provider is exempt from VAT under the subjective tax exemption scheme (alanyi adómentesség); prices do not include VAT, and no VAT is payable on them.
2. Scope of the Terms
These General Terms and Conditions (Terms) apply to every contract concluded between the Service Provider and the person or organisation ordering its services (the Client), unless the parties agree otherwise in writing. Any different terms set out in an individual offer or contract take precedence over these Terms.
The services are intended primarily for businesses, sole traders and organisations. If the Client is a consumer (a natural person acting outside the scope of their profession or business activity), the differing provisions of consumer protection legislation, in particular Government Decree 45/2014 (II.26.), shall prevail, including the 14-day right of withdrawal. If the consumer expressly requests that work begin before the withdrawal period expires and the Service Provider has fully performed the service, the right of withdrawal lapses; in the case of partial performance, the consumer must pay a proportionate fee for the work completed up to that point.
3. The services
- Website development: design, development and launch of presentation, content-based and custom websites and webshops, for a one-off fee.
- Maintenance: support for the operation of a website built by the Service Provider, for a monthly fee (management and administration of the Client’s hosting and domain name, updates, backups, 1 to 2 hours of content changes per month; the hosting and domain fees are not included). Maintenance is optional: the Service Provider lists it as a separate item in every website offer and omits it at the Client’s request. It is payable monthly in advance and may be terminated with 30 days’ notice; unused hours cannot be carried over to the following month. Maintenance Plus: in addition to the above, it includes 4 hours of content changes per month, automatic monitoring of the website’s availability, priority bug fixing, and a monthly report on website traffic and contacts (calls, messages, bookings). For the report, the Service Provider places a tracking code on the website that uses no cookies, stores no IP addresses and collects only aggregated data that cannot be linked to individuals. The figures in the report are indicative, may differ from those of other measurement tools, and the Service Provider gives no guarantee regarding traffic or customer numbers. The exact scope is set out in the current price list (upgo.hu/en/pricing) or in the individual offer.
- Website on a monthly fee (subscription): building the website in return for a one-off setup fee and a monthly fee, which also includes maintenance (section 8).
- UpGo online booking system: web-based appointment booking software provided as a monthly subscription (SaaS), with a booking interface that can be embedded in the Client’s website, an administration interface and notifications.
- Google Business Profile management: setting up the Client’s Google Business Profile, keeping its details up to date and managing reviews, for a monthly fee. Creating posts is not included (section 10).
- Google Business Profile and Google Ads management: Business Profile management supplemented by setting up and managing the Client’s Google Ads account and campaigns, for a setup fee and a monthly management fee (section 10).
Domain and hosting: the Client orders the domain name and hosting in its own name directly from the relevant provider (e.g. domain registrar, hosting provider) and pays the fees directly to that provider. The Service Provider assists with ordering and setup and, using the access granted by the Client, manages these on the Client’s behalf (setup, monitoring of renewals, administration). The legal relationship between the Client and the hosting provider or domain registrar is governed by their own terms. The Service Provider is not liable for any fault or service outage of the hosting provider or registrar, nor for the termination of the service due to non-payment of their fees. The cost of other services purchased from third parties (e.g. paid fonts, images, plugins) is included in the package price only if the offer expressly states so.
4. Conclusion of the contract
The Client requests an offer (via the website, by email or by phone). The Service Provider sends an individual quote by email, setting out the scope of the work, the fee, the payment schedule and the planned deadline. The offer is valid for 30 days from the date it is sent.
The contract is concluded when the Client accepts the offer by email (e.g. “I accept the offer”) and the Service Provider confirms the acceptance by email. A contract concluded in this way by email qualifies as a contract in writing. The contract consists of the offer, the accepting email, these Terms and, for services involving personal data, the Data Processing Agreement.
For the online booking system, the contract may also be concluded by the Client accepting these Terms and the Data Processing Agreement on first login to the administration interface. The system records the time of acceptance, the version of the documents and the person accepting them, and the Service Provider confirms this by email.
The language of the contract is Hungarian. The Service Provider does not file the contract separately but retains the contractual documents (offer, correspondence, confirmation) electronically. These Terms are permanently available on the website and can be saved and printed. As businesses, the parties derogate, as described here, from the information and confirmation rules of Sections 5 and 6 of Act CVIII of 2001.
5. Fees and payment
- Website development: unless otherwise agreed, 50% of the fee is payable as an advance, requested by the Service Provider via a pro forma invoice. Work begins once the advance has been received. The remaining 50% is due on handover, against an invoice, with an 8-day payment term. The website goes live (moves to the final domain) after the full fee has been paid.
- Monthly services (maintenance, booking system, Google Business Profile and Google Ads management, website subscription): the monthly fee is payable monthly in advance, against an invoice, with an 8-day payment term. Annual subscriptions are available by separate agreement.
- One-off setup fees (booking system, Google Business Profile, Google Ads, website subscription setup fee): due on ordering, based on a pro forma invoice; work begins once they have been received. Once the setup has been completed, they are not refundable even if the service ends. The Service Provider does not charge the booking system setup fee for a website it has built, if the offer so states.
- Prices: current prices are shown on the packages page. For a concluded contract, the price in the accepted offer applies.
- The Service Provider issues electronic invoices and sends them by email.
- In the event of late payment, the Service Provider may charge default interest and a flat-rate recovery cost under the Civil Code. If the monthly fee has still not been received within 15 days after the payment deadline, the Service Provider may, after prior notice by email, suspend the service (e.g. the booking interface) until the fee is settled. Data is retained during the suspension.
- The Service Provider may change monthly fees no more than once a year, with at least 30 days’ prior notice by email. If the Client does not accept the change, it may terminate free of charge before the change takes effect.
6. The website development process
- The Client provides the materials needed for the work (texts, images, logo, contact details, access credentials). The deadline runs from the delivery of the complete materials. The Client warrants that it is entitled to use the content it provides and that such content does not infringe the rights of third parties.
- During the work, the Service Provider shows the website at a test address. The price includes two full rounds of revisions. New features beyond the offer and additional rounds are charged separately, and the Service Provider gives notice of this in advance.
- Handover and acceptance: the Service Provider notifies the Client by email that the website is complete. The Client may report any defects within 8 days. If no defect is reported within this period, or the Client starts using the website live, the website is deemed accepted. The Service Provider corrects free of charge any defects reported at handover that do not conform to the offer.
- If the Client fails to provide the materials needed for the work within 90 days of ordering, or the project is stalled for 90 days for reasons within the Client’s sphere of responsibility, the Service Provider is entitled to close the work done up to that point and invoice it. In this case, the advance is not refunded.
7. Copyright and use
Upon payment of the full fee, the Client acquires an exclusive right of use, unlimited in time and territory, to the unique elements of the completed website (design, copy, custom code), including the right to adapt them. General program code, frameworks and tools that the Service Provider uses across multiple projects remain the property of the Service Provider; the Client receives a non-exclusive right to use these to the extent necessary to operate the website.
The UpGo booking system is the intellectual property of the Service Provider. The Client receives a non-exclusive, non-transferable right of use for the duration of the subscription. The Service Provider may present the finished work as a reference (name, screenshot, link), which the Client may prohibit in writing.
8. Website on a monthly fee (subscription)
The subscription model is available exclusively to businesses, sole traders and organisations.
- Fees: the setup fee is due on acceptance of the offer, based on a pro forma invoice. The monthly fee is payable monthly in advance from the month in which the website is handed over, against an invoice. The monthly fee includes maintenance (section 3) but not the domain and hosting fees: the Client pays these directly to the provider in accordance with section 3.
- Minimum term: the contract is concluded for 12 months from handover, during which the Client may not terminate it by ordinary notice. If the Client nevertheless terminates the contract during the minimum term, or the Service Provider terminates it with immediate effect due to a serious breach of contract by the Client (for example, arrears of fees exceeding 60 days), the monthly fees remaining for the minimum term become due in a single sum. After the minimum term, either party may terminate by email with 30 days’ notice.
- Rights during the subscription: the economic rights of copyright in the unique elements of the website (design, code) remain with the Service Provider during the subscription; the Client receives a non-exclusive right to use the website. Content provided by the Client (texts, images, logo) always remains the Client’s property. The domain name and hosting are registered in the Client’s name and belong to the Client.
- Buyout: after the 12th month, the Client may buy out the website at any time for 50% of the package’s current one-off price. After 24 monthly fees have been paid, the website becomes the Client’s property free of charge. On buyout, the Client acquires the rights corresponding to a one-off fee order under section 7 and, on request, receives the website’s files. Maintenance may thereafter be ordered separately under section 3.
- Termination without buyout: if the contract ends without the website being bought out, the Client is no longer entitled to use the website, and the Service Provider may remove the elements of the website it created from the Client’s hosting. On request, it returns the Client’s content within 30 days. The domain and hosting remain with the Client.
- Package with the UpGo booking system: the monthly-fee website may also be ordered together with the UpGo booking system (section 9) as a discounted package. In this case, the package’s monthly fee covers both the website and the base fee of the booking system (with one bookable staff member), no booking system setup fee is payable, and fees for additional bookable staff members are payable on top of the package’s monthly fee in accordance with section 9. The 12-month minimum term under this section applies to the package. After the website is bought out or 24 monthly fees have been paid, the package’s monthly fee changes, without the website, to the booking system’s then-current standalone fee, of which the Service Provider notifies the Client in advance. The discount ceases if the booking system is terminated on its own; in that case, the website’s monthly fee is the standalone monthly fee under this section.
9. The UpGo booking system
- Fees: a one-off setup fee (entering services, staff and working hours, configuring the appearance, embedding in the website) and a monthly subscription fee, in accordance with section 5.
- Calculation of the monthly fee: the base fee includes one bookable staff member (calendar). For each additional bookable staff member, the per-staff fee published on the packages page is payable, up to the fee of the Salon package, which includes an unlimited number of staff members. The Premium package adds extra features (for example, rebooking reminders, online deposit payment, waiting list, gift vouchers and coupons, invoicing integration, additional languages, review requests) for a surcharge on top of the monthly fee, as published on the packages page. Premium can be switched on or off monthly, from the next billing month. Online payments and invoicing require the Client’s own account with the chosen provider (Stripe, Barion, Billingo, Számlázz.hu); the Client pays their fees directly to the provider and is responsible for the content of the invoices issued. A bookable staff member is one who is in an active (bookable) status in the system; paused staff members are not counted. The Service Provider takes changes in the number of staff members into account from the next billing month; there is no pro rata settlement for changes during the month. The Client can see the current fee and its calculation at any time in the administration interface (My Account page). The parties may also agree on an individual fee.
- Staff access: the Client may give its staff members their own logins, with which a staff member sees their own calendar, bookings and results. The owner account sees all data. The Client is responsible for granting and revoking staff access and for ensuring that staff members handle data in accordance with the Client’s instructions.
- Term and termination: the subscription is for an indefinite period, with no minimum commitment. Either party may terminate it by email with effect from the end of the current billing month. Fees for periods already paid are not refunded.
- Availability: the Service Provider strives for continuous operation, schedules maintenance at night where possible, and remedies faults within a reasonable time of becoming aware of them. The Service Provider does not commit to a guaranteed availability percentage. It is not liable for outages arising on the side of third parties (hosting, email, internet service provider).
- Data: the controller of the guest data stored in the booking system is the Client; the Service Provider is the processor. Details are set out in the Data Processing Agreement. The Client is responsible for ensuring that the company details entered in the system are accurate, as the privacy notice for guests is generated from them.
- Termination: when the contract ends, the Client may request an export of its data (bookings, guests) within 30 days. The Service Provider then deletes the data, and it is erased from backups at the end of the backup cycle.
- The Client may not use the system for unlawful purposes or for sending unsolicited messages, and may not attempt to circumvent the system’s security. In the event of a serious breach of contract, the Service Provider may terminate with immediate effect.
10. Google Business Profile and Google Ads management
Applies to both services:
- The Google Business Profile and the Google Ads account are the property of the Client, are held in the Client’s name and operate under the Google terms accepted by the Client. The Service Provider receives manager access, which the Client may revoke at any time. The Client is responsible for ensuring that the details shown in the profile and in the ads (name, address, opening hours, services, prices) are accurate.
- The fee consists of a one-off setup fee and a monthly fee (section 5). The service has a minimum term of 3 months, after which either party may terminate it by email with effect from the end of the month. If the Client terminates during the minimum term, the remaining monthly fees become due in a single sum.
- Search rankings and the display and performance of ads are determined by Google, so the Service Provider does not guarantee any specific ranking or number of views, clicks or customers. The Service Provider is not liable for changes to Google’s services or for any restriction of the profile or account by Google, unless caused by a breach of rules by the Service Provider.
Google Business Profile management:
- The service includes setting up and optimising the profile, keeping its details (opening hours, services, contact details) up to date, uploading images received from the Client, replying to reviews and a monthly report. Creating posts (updates, offers, events) is not part of the service.
- The Service Provider complies with Google’s rules: it does not write or buy fake reviews, does not offer anything in return for reviews, and does not request reviews only from satisfied customers. Reviews are requested from customers by email, QR code or other means, as requested by the Client. Where the Client’s customers’ contact details are used for this, the Service Provider does so as a processor (Data Processing Agreement), and the Client is responsible for the legal basis for contacting the customers.
- The Service Provider replies to reviews in a tone agreed with the Client. Replies to negative reviews are published only with the Client’s approval.
Google Ads management (together with Business Profile management):
- The fee consists of a one-off setup fee and a monthly management fee. The Client pays the advertising budget (the cost of clicks) directly to Google using the payment method set in its own account, and sets the upper limit of the monthly or daily budget. The management fee is independent of the advertising budget and does not include it.
- The Service Provider sets up and regularly optimises the campaigns according to the goals and budget agreed with the Client. Increasing the budget or launching a new campaign requires the Client’s approval (by email).
- Ads must comply with Google’s advertising policies and the law (e.g. the prohibition of unfair commercial practices towards consumers). The Client is responsible for the accuracy of the advertised offers, prices and promotions.
- Conversion tracking and any remarketing use cookies, so the Client’s website requires cookie consent management (a cookie banner) and the use of Google Consent Mode. If the website was built or is maintained by the Service Provider, the Service Provider sets this up. In other cases, ensuring this is the Client’s responsibility.
- The Service Provider uploads the Client’s customer lists (email addresses, phone numbers) to the advertising account only on the Client’s separate written instruction and in accordance with the data processing agreement.
11. Foreign businesses
For businesses registered in another Member State of the European Union (for example, Austria), the Service Provider quotes prices in euros as net amounts. The invoice is issued without VAT, with a note referring to the reverse charge (the Client, as the recipient of the service, pays VAT in its own country). For this, the Client must have a valid EU VAT number, which it provides when ordering. The Service Provider provides services to foreign clients only where they act as businesses.
The offer and correspondence may also be conducted in German or English. Even in this case, the contract is governed by these Terms and Hungarian law. If the language versions differ, the Hungarian text prevails.
12. Liability
The Service Provider is liable for damage caused by breach of contract in accordance with the rules of the Civil Code (Ptk.). To the extent permitted by law, its liability is limited to the amount of the fees actually paid under the relevant contract in the last 12 months and does not extend to lost profits or indirect damage. This limitation does not apply to damage caused intentionally, through gross negligence or by a criminal offence, nor to breaches of contract causing harm to life, physical integrity or health.
The Service Provider is not liable for content provided by the Client, for changes made subsequently to the website by the Client, or for damage resulting from the Client’s improper handling of access credentials.
13. Data protection and confidentiality
The processing of the personal data of the Client and its contact persons is described in the Privacy Notice. Where, in the course of the work, the Service Provider gains access to the personal data of the Client’s customers (booking system, forms on a maintained website), it processes such data as a processor in accordance with the Data Processing Agreement.
The parties shall keep confidential any business secrets, access credentials and non-public information concerning the other party that come to their knowledge in the course of performing the contract, including after the contract has ended.
14. Complaints and dispute resolution
Complaints and fault reports can be sent to hello@upgo.hu. The Service Provider responds substantively within 5 working days. The parties shall primarily seek to settle any disputes through negotiation.
The contract is governed by Hungarian law, in particular Act V of 2013 on the Civil Code (Ptk.). In disputes between businesses, the parties stipulate the exclusive jurisdiction of the court competent for the Service Provider’s registered seat. Consumers may also turn to the conciliation body competent for their place of residence.
15. Amendment of the Terms
The Service Provider may amend these Terms. It publishes any amendment on the website at least 15 days before it takes effect and notifies Clients with an ongoing subscription by email. In the booking system, the Client accepts the new version at its next login. If the Client does not accept the amendment, it may terminate the subscription free of charge before the amendment takes effect. The essential terms (fee, deadline) of individual contracts already concluded do not change without the Client’s consent.
